Flowhub Social Equity Program Summary of Terms

Flowhub Holdings, Inc.’s (“Flowhub”) social equity program is designed to promote equal opportunity cannabis entrepreneurship. This program awards underrepresented dispensary owners with discounted Flowhub software subscription services to help ease the process of sparking up their cannabis businesses (“Social Equity Program”).

Eligibility

To qualify for the Social Equity Program, the applicant must meet each of the following eligibility requirements:

1. The applicant must be a new Flowhub customer (i.e., the applicant cannot have been a paying customer in the past 12 months);

2. The applicant must hold a legal dispensary license in a current Flowhub market; and

3. The applicant must hold a majority ownership of the business.

In addition to the above, the applicant must also qualify under one or more of the following:

• The applicant is an existing social equity license holder designated by a state agency;

• The applicant is part of an underrepresented group (including, BIPOC, LGBTQIA+, veterans, women); or

• The applicant was previously arrested for or convicted of the sale, possession, use, manufacture or cultivation of cannabis, prior to the decriminalization of marijuana in such applicant’s state; provided such arrest or conviction (i) was not connected to a violent offense, (ii) was not connected to operating a motor vehicle under the influence, and (iii) did not involve distribution, endangerment to or neglect of someone less than 18 years old.

Process

Applicants will submit an application through Flowhub’s website. The Social Equity Program administrative team (the “SEP Admin Team”) will review applications on a rolling basis. The SEP Admin Team will select and notify recipients and ineligible applicants within 3-5 weeks of submission. Recipients will be required to sign a Flowhub sales agreement.

Any information requested on the application is subject to attestation and/or verification by the applicant. Flowhub reserves the right to deny an applicant admission in the program and may terminate or alter the Social Equity Program at any time and for any reason at its discretion.

Benefits

Each recipient who has signed a Flowhub agreement (“SEP Customer”) will receive the following benefits:

• Flowhub POS software at the special price of $4.20 per month for one dispensary location in accordance with the terms and tiers set forth in the section Pricing Tiers.

• Two free Nug Pro software subscriptions to Greet and Stash applications included. Purchase is required for Nug Pro hardware device(s);

• Free View app subscription; and

• Discounted $100 implementation fee.

Pricing Tiers

SEP Customers will start on the Social Equity Program at the special price of $4.20 per month for one dispensary location. This initial pricing will expire the earlier of (a) three (3) years, or (b) once the SEP Customer’s cumulative sales from commencement of the Social Equity Program exceed $100,000.

Once either of these conditions have been met, SEP Customers will graduate to the next Social Equity Program tier at the cost of $420 per month. Once cumulative sales from commencement of the Social Equity Program exceed $250,000, SEP Customers will fully graduate from the Social Equity Program to standard Flowhub POS pricing and become eligible for additional Flowhub awards as available.
