Flowhub Partner Referral Program Terms and Conditions

These terms and conditions (these “Referral Terms”) constitute an agreement between you and Flowhub Holdings, Inc. (“Flowhub,” “we” or “our”) regarding certain dispensary client referrals.

1. Referral Mechanics

You may refer an unlimited number of potential dispensary clients to Flowhub, so long as each referral meets Flowhub’s eligibility requirements as a legal cannabis dispensary operation in one of the markets listed on our website.

You must make each referral online at the form found here. Each referral must be made in writing and shall explicitly identify the client as referred to Flowhub by you.

2. Eligibility of Referred Clients

A referred candidate must:

• Be a legal cannabis retailer/dispensary in a market served by Flowhub;
• Not have already contacted Flowhub or requested a demo within the past 3 months;
• Not have previously received a proposal and/or been a Flowhub customer;

After evaluating the above criteria, Flowhub shall, in its sole discretion determine whether a referred client shall be eligible for this referral program. Once a referral is received, a Flowhub representative will contact the prospective client within five (5) working days via phone or email as provided by you.

3. Referral Fee

For each referral, you will be eligible for a referral fee (“Referral Fee”) provided that (i) such referral satisfies all the requirements hereunder, (ii) the referred client has signed a contract with Flowhub and (iii) that the referred client has been successfully onboarded on to the Flowhub platform. The Referral Fee shall equal the referred client’s first month’s subscription fee paid to Flowhub. The Referral Fee shall be paid to you within ninety (90) days after the completion of the referred client’s sale and implementation on to the Flowhub platform. A Referral Fee will be payable for each confirmed referral. Flowhub reserves the right to modify the eligibility criteria, the Referral Fee and payment terms at any time, in its sole discretion.

4. General Terms

Your eligibility for participation in this referral program is expressly conditioned on your adherence to Flowhub's website Terms and Conditions, these Referral Terms and any other terms governing your commercial relationship with Flowhub. If you violate any provisions of the foregoing terms, in addition to any other remedies, rights or actions which may be reserved thereunder, Flowhub may: (i) remove your eligibility to participate in the referral program; (ii) withdraw or rescind any Referral Fee earned in violation or suspected violation of these restrictions; or (iii) take any other remedial action that Flowhub determines is necessary or appropriate in its sole discretion.

5. Acceptance and Modification

By completing the partner referral form, you are agreeing to be bound by these terms. Flowhub may make changes to these terms from time-to-time without prior notice and in its sole discretion, including by terminating the referral program, or electing for Referral Fees to expire, be subject to a limit, or otherwise be modified at any time and for any reason.
