Flowhunt 2019 Official Rules

Eligibility: Flowhunt 2019 (“Contest”) is open only to natural persons who (i) are legal residents of the United States, (ii) are at least eighteen (18) years old at the time of entry, and (iii) have a valid pass to MJBizCon 2019 (VIP Conference + Expo, Conference + Expo, or Expo Only). VOID WHEREVER PROHIBITED OR RESTRICTED BY LAW. Contest may only be entered from and in the city of Las Vegas, Nevada. Administrator and its affiliates, employees, agents, and representatives, as well as the immediate family (spouse, parents, siblings and children) and any household members of the same are not eligible to participate. In the event of a dispute as to the identity of an entrant, the authorized account holder of the Twitter account will be deemed to be the entrant. Administrator may request any potential winner to provide proof that such person is the winner. All potential winners are subject to verification and all applicable federal, state, and local laws and regulations before any prize will be awarded. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Administrator’s decisions, which are final and binding in all matters related to the Contest. Potentially winning a prize is contingent upon fulfilling all requirements set forth herein.

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. AN ENTRANT MAY ONLY PARTICIPATE USING ONE TWITTER ACCOUNT. TASK SUBMISSIONS RECEIVED BY ONE ENTRANT THROUGH MULTIPLE ACCOUNTS SHALL BE DISQUALIFIED.

Administrator: The sponsor and administrator of the Contest is Flowhub, LLC ("Administrator").

Timing: The Contest period begins at 9 AM PST on December 11, 2019 and ends at 3 PM PST on December 13, 2019 (the “Contest Period”). Administrator's clock is the official time keeping device of the Contest.

How to Enter: First, each participant must follow @FlowhubCo to participate in the Contest and be awarded any prize. During the Contest Period, you must follow the rules and directions of the scavenger hunt as provided above, which includes a list of scavenger hunt tasks (the “Tasks”) requiring you to post specific content, photos, and videos, and post that content, photos, and videos using your Twitter account. ALL SUBMISSIONS MUST (1) be posted to Twitter, (2) use the official game hashtag (#Flowhunt19), and (3) tag the handle (@FlowhubCo) to qualify. Each Task has been assigned a predetermined number of points. No other method of participation will be accepted. The Contest is a game of skill requiring participants to meet as many Tasks and score as many points as they can during the Contest Period. No drawings, sweepstakes, raffles or other elements of chance are utilized to determine the winning participants.

Prizes: One (1) Grand Prize. The first place winner will be awarded a $500 Visa gift card. Restrictions may apply. Approximate Retail Value of the Grand Prize is: Five Hundred Dollars ($500.00).

Three (3) Runner Up Prizes. The second, third, and fourth place winners will each be awarded a $100 Visa gift card. Restrictions may apply. Approximate Retail Value of each Runner Up Prize is: One Hundred Dollars ($100.00).

No transfer, or cash or other substitution of prizes allowed except that Administrator reserves the right, in its sole and absolute discretion, to substitute a prize or prize component of comparable or greater value. Lost or stolen prizes will not be replaced.

Selection and Verification of Potential Winners: For each Task completed, the applicable participant will be awarded the points associated with that Task. Shortly following the end of the Contest Period, the accumulated points for each participant will be tallied and the 1st, 2nd, 3rd, and 4th place will be determined based upon the highest total points. In the event of a tie, the first tie breaker will be awarded to the participant who completed the highest number of Tasks. In the event the first tie breaker still results in a tie, the second tie breaker will be awarded to the participant who completed his/her final completed Task at the earliest point of time during the Contest Period.

All potential winners are subject to verification by Administrator. Potential winners must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. All content, photos, and videos properly submitted in connection with a Task will be reviewed by Administrator to ensure the submission complies with the stated Task. Entries not in compliance will be rejected and the Task will be deemed to be uncompleted. The decisions of Administrator will be final and binding in all matters related to the Contest.

Content Restrictions: By submitting any content, photo or video in connection with any Task or otherwise in connection with the Contest (each, a “Content Submission”), each participant grants Administrator a perpetual, non-exclusive license to use his/her Content Submission, and acknowledges and agrees that Administrator may use, or not use, participant’s Content Submission, or any part of it, in any manner, in any media, at any time, in their sole discretion, including in a commercial manner and in advertising and promotions, and participant forever releases and discharges Administrator from any liability associated with any such usage.

In addition to any other requirements set forth in these Official Rules, in order to be deemed eligible for participation, each Content Submission and/or the participant submitting it must meet the following conditions and restrictions:

  • The participant either owns or has received permission from the photographer to submit the Content Submission, including the permission to make the Content Submission public without payment.
  • The participant has the permission of all other individuals depicted in the Content Submission to submit the Content Submission and grant the rights granted herein.
  • The Content Submission must not defame or invade the publicity or privacy rights of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights or constitute or suggest copyright infringement.
  • The Content Submission must not contain any content that is sexually explicit, offensive, illegal, pornographic or obscene or otherwise is in bad taste or is otherwise objectionable to Administrator, determined by Administrator in its sole and exclusive discretion.
  • The Content Submission must be original to the participant and not be based on any third party photos and must not contain any recognizable art or other copyrighted materials, or third party logos, trademarks or other commercial or advertising content, other than those of Administrator or Administrator’s partners.
  • The Content Submission must not disparage Administrator, MJBizCon, or any other person or entity.
  • The Content Submission must not contain corrupted files, viruses, or any other similar files, the intent of which is to damage the operation of another’s computer.
  • The Content Submission must not depict material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age.
  • The Content Submission must not depict material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where Content Submission is created.

Administrator shall have the right to disqualify any Content Submissions that it deems to not meet the criteria, or due to technical, legal, clearance or other problems, or otherwise in breach of the above rules, as determined by Administrator in its sole discretion. The Task relating to any such disqualified Content Submission shall be deemed not to have been met.

Notification: The Administrator will make up to two (2) attempts over the 48-hour period following the potential winner’s selection to contact the potential winner via Twitter direct messaging using the Twitter handle associated with that potential winner’s Twitter account. If such potential winner cannot be reached during the 48-hour period in which he/she is contacted, such potential winner will be disqualified and an alternate winner will be selected using the same winning criteria described above from among the remaining applicable eligible entries received. The return of a potential winner's notification, prize information, or the prize as undeliverable or rejection of the prize by the potential winner will result in disqualification of the potential winner and an alternate potential winning team may be selected pursuant to the winning criteria. The Administrator reserves the right to modify the notification procedures in connection with the selection of any alternate potential winning teams, if any. With respect to each winning entry, the potential winner may be required to provide proof that he/she is the authorized account holder of the Twitter account associated with the winning entry and is otherwise eligible to enter the Contest.

Publicity: Except where prohibited, participation in the Contest constitutes winner’s consent to Administrator’s use of winner’s name, social media identity, likeness, content, photograph, voice, and opinions for purposes in connection with this Contest or any future similar contests in any media, worldwide, without further payment or consideration.

Privacy: Administrator may collect personal data about entrants online and use such data in accordance with Administrator’s privacy policy at https://flowhub.com/privacy-policy (“Privacy Policy”) and as set forth in these Official Rules. Please review these Official Rules and the Privacy Policy carefully. By participating in the Contest, entrants hereby agree to such collection and use of their personal information by Administrator, either collectively or individually, and acknowledge that they have read and accepted these Official Rules and the Privacy Policy.

Errors and Unauthorized Activity: Administrator is not responsible: (1) for any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Contest; (2) for technical and/or communications malfunctions, errors or failures of any kind; (3) for unauthorized human intervention in any part of the Contest; (4) for technical or human error which may occur in the administration of the Contest or the processing of entries; (5) for any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest or receipt or use or misuse of any prize; or (6) if the Contest cannot take place or if any prize cannot be awarded due to acts of war, natural disasters, weather or acts of terrorism. If for any reason a participant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, participant’s sole remedy is another entry in the Contest. No more than the stated number of prizes will be awarded. Administrator reserves the right to cancel, suspend and/or modify the Contest, or any part of it, if any fraud, technical failures or any other factor beyond Administrator’s reasonable control impairs the integrity or proper functioning of the Contest, as determined by Administrator in its sole discretion. Administrator reserves the right, in its sole discretion, to disqualify any individual it suspects or finds to be tampering with the entry process or the operation of the Contest, to be acting in violation of these Official Rules or the MJBizCon conference rules and regulations, or to be acting in an illegal, unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Administrator reserves the right to seek damages from any such person to the fullest extent permitted by law. Administrator’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Release: By participating in the Contest, entrant (a) releases Administrator and its affiliates, subsidiaries, successors, assigns, agents, representatives, officers, directors, shareholders, and employees, from any and all liability for any claims, costs, injuries, losses or damages of any kind arising in connection with the Contest, including the unauthorized or illegal access to personally identifiable or sensitive information or acceptance, possession, use, misuse, or nonuse of the prize that may be awarded; and (b) acknowledges that the foregoing parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, expressed or implied, in fact or in law, relative to a prize including, without limitation, the prize quality or availability. By entering in the contest, participant agrees to indemnify and hold harmless Administrator and its affiliates, subsidiaries, successors, assigns, agents, representatives, officers, directors, shareholders, and employees from any and all claims, demands, suits, liabilities, or expenses (including reasonable attorneys; fees, expenses and court costs) arising out of potential winner’s participation in the Contest or any claim arising out of potential winner or potential winner’s use of the prize.

Disputes: As a condition of participating in the Contest, entrant agrees that: a) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses; b) all causes of action arising out of or connected with this Contest or the prizes awarded, shall be resolved individually, without resort to any form of class action, exclusively by arbitration pursuant to the Rules of the American Arbitration Association, then effective; and c) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred and in no event shall entrant be entitled to receive attorneys’ fees or other legal costs. Administrator reserves the right to modify prize award procedures. The Contest and these Official Rules, and the validity, construction, performance, and enforcement thereof, shall be governed by and construed in accordance with the laws of State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

Winner’s List: To obtain a list of the names of winners of the prizes, mail your request and a self-addressed, stamped envelope, up to sixty (60) days after the close of the Contest, to Flowhub Marketing Team, 1890 Wynkoop Street, Suite 100, Denver, CO 80202.

THIS CONTEST IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH TWITTER OR ANY OTHER SOCIAL NETWORK OR PLATFORM. YOU UNDERSTAND THAT YOU ARE PROVIDING YOUR INFORMATION TO ADMINISTRATOR, AND NOT TO TWITTER OR ANY OTHER SOCIAL NETWORK OR PLATFORM. MJBIZCON IS NOT A SPONSOR OF THE CONTEST, AND IS NO WAY RESPONSIBLE FOR THE ADMINISTRATION OF THE CONTEST, THE VERIFICATION OF WINNERS OR THE FULFILLMENT OF PRIZING. ALL INQUIRIES REGARDING THE CONTEST SHOULD BE DIRECT TO ADMINISTRATOR AND NOT TO TWITTER OR MJBIZCON.
